Terms of Service

Last updated 2026-10-20 · Privacy policy

Agreement

These terms are a contract between the company that opens a CostTally account (and each person it lets sign in) and CostTally. By creating an account, accepting these terms in the app, or paying for a subscription, you agree to them. If you are accepting for a company, you confirm you may bind it.

What CostTally is

CostTally is software for recording crew time, receipts and other costs against jobs, and for running calculations on the numbers you enter, including a deal analyzer. It is a calculation and record-keeping tool. It is not a crystal ball: markets, costs and conditions change, and no projection it produces is a promise about what will happen.

Provided as is

The software is provided "as is" and "as available", without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not promise that the service will be uninterrupted, error-free or that any calculation is correct for your situation. You are responsible for checking the numbers you rely on.

Not professional advice

CostTally is not a registered investment adviser, financial advisor, certified public accountant, attorney, mortgage or real estate broker, or lender. Nothing the app produces, including the deal analyzer, its maximum allowable offer, break-even, profit, overtime, payroll and tax figures, is investment, lending, legal, tax or accounting advice, and it does not take your circumstances into account. Decisions about buying, financing, renovating or selling property, and about paying people, are yours. Talk to a licensed professional before relying on any figure.

Your responsibilities

You are responsible for the accuracy of what you and your team enter, for keeping your passwords and devices secure, and for how you use the output. In particular: you remain the employer of record for the people you pay and are responsible for complying with wage, hour, overtime, classification, tax and reporting law, whatever the app's settings or defaults; you must tell workers that their location is recorded at clock-in and clock-out and obtain any consent the law requires; and you must have the right to upload any receipt, document or personal information you put into the service.

Shared reports and lenders

If you share a report or figures from CostTally with a lender, investor, partner or anyone else, you are sharing your own estimates. CostTally has not verified them, does not underwrite loans, and does not endorse any lender or borrower. Reports generated by the app carry a note to that effect, and you agree not to remove it.

Limitation of liability

To the fullest extent the law allows, CostTally and the people who build and run it are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost deals, lost savings, lost data or business interruption, arising out of or related to the service, however caused and under any theory of liability, even if we were told such damages were possible. In any dispute, our total liability to you for all claims together is limited to the amount you paid us in subscription fees in the three months before the event giving rise to the claim, or one hundred US dollars if you paid nothing. Some places do not allow some of these limits; where that is so, they apply to the extent permitted.

Your only remedy

If you are unhappy with the service, or it does not do what you need, your only remedy is to stop using it and close your account. We may, at our choice, also correct a problem or credit you for the current billing period, but we are not obliged to and doing so once does not oblige us again.

You cover claims from your own use

You agree to defend us and cover any loss, cost, damages and reasonable legal fees that arise from a claim by someone else, including a worker, a lender, a tax authority, a partner or an investor, that is based on how you or your team used the service or its output: paying or classifying workers, recording their time or location, reporting to a lender, filing taxes, sharing reports, or uploading something you did not have the right to upload. This does not cover claims caused by our own fraud or willful misconduct.

Subscriptions and billing

Paid plans renew automatically at the end of each billing period until cancelled. You can cancel at any time in the app; the plan stays active to the end of the period already paid and is not refunded for the remainder. We may change prices with at least thirty days' notice by email or in the app; continuing after the change takes effect means you accept the new price. Taxes may be added where required.

Your data

Your company owns the data it enters. We use it to provide the service, as described in the Privacy Policy, and we do not sell it or use it to train AI models. You can export your time entries at any time, and an account owner may ask us to delete the account and its data.

Acceptable use

You agree not to use the service to break the law, to enter information you have no right to use, to interfere with the service or other customers, to reverse engineer it, or to resell access without our written agreement.

Ending the agreement

You may close your account at any time. We may suspend or end an account that breaks these terms, is used to harm others or the service, or has gone unpaid, after notice where practical. Sections that by their nature should survive (your data, limitation of liability, disputes) survive the end of the agreement.

Disputes

These terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute that cannot be settled between us will be brought in the state or federal courts located in Sacramento County, California, and you consent to their jurisdiction. Each of us agrees to bring claims only on our own behalf and not as part of a class. Any claim arising out of the service must be brought within one year of the event it is based on, or it is waived. Either of us may bring an individual claim in small claims court instead.

Changes to these terms

We may update these terms. When we make a material change you will be asked to accept the new version in the app before using the features it covers, and the date at the top will change. Continuing to use the service after that date means you accept the new terms.
